Specializing in entrepreneurs and emerging companies, we advise clients on choice of entity selection to design and tailor business structures for maximization flexibility, optimal tax treatment and limitation of liability.  From business entity formation, day-to-day governance and activities, to exit strategies, our transactional attorneys assist clients in all such issues and in areas of employment, securities, executive compensation and taxes.

We regularly advise boards of directors, managers, general partners, special committees and executives on matters impacting the governance and operation of business entities.  We often make introductions and to and assist with the formation of strategic relationships, development of business plans, attracting and retaining key employees, outsourcing, leasing and non-competition and confidentiality issues.

Mergers and Acquisitions constitute a significant portion of our transactional practice.  Our attorneys guide the acquisition and disposition of equity interests and assets. We advise in all types of change in control transactions, having represented both acquiring and acquired entities and their equity owners and/or principals.  Our attorneys are versed in both offensive and defensive techniques.  We anticipate needs and provide creative solutions for contested and negotiated transactions, leveraged buy-outs, holding company formation, merger of equals and strategic acquisition in numerous industries.  We take the transaction from negotiation of the letter of intent to drafting and negotiating asset purchase and equity purchase and merger documents, through due diligence and closing of the transaction, including the steps necessary for and in the drafting of documents supporting conversions, recapitalizations, reorganizations, spin-offs and divestitures and related leasing, employment, franchising and tax issues.

Litigation Practice Area

Our experienced trial attorneys have an impressive history of successful results in a broad spectrum of litigation, arbitration, administrative and alternative disputes resolution covering a wide range of companies, insurers and individuals.  We have a well-earned reputation at the trial and appellate level for aggressively and professionally achieving cost-effective, advantageous, creative and solutions for our clients in a multitude of litigation areas.  Our experience includes the use, both defensively and offensively, of extraordinary remedies such as injunctions, in crucial, time-sensitive litigation matters.

When it comes to litigation, we believe it is important to strive for an early and frank evaluation of the strengths and weaknesses of any litigated matter.  When feasible and advisable consistent with our clients' goals and interests, we will also strive for early resolution while still aggressively preparing and positioning the case for resolution by trial.  We believe our clients achieve the best and most cost-effective and efficient resolution by being willing, capable and prepared to take the matter to trial on behalf of our client.

Real Estate Practice Area

Our real estate attorneys are actively engaged in the acquisition, sale, development, financing, and leasing of commercial and multi-family residential real estate.  We have significant experience in diverse forms of financing vehicles for real estate projects, including private placements of equity, acquisition loans and construction loans.  We have represented a broad range of clients, from closely-held developers to publicly-held REITS and corporations.  We also provide advice to clients on retail and office leases, the subdivision and development of residential communities, loan workouts, like-kind exchanges, and complex legal structures to minimize liabilities and taxes.

Tax Practice Area

Our tax practice addresses the tax implications of formations, reorganizations, spin-offs, mergers, acquisitions, and business combinations of corporations, partnerships, limited liability companies and other entities, as well as the following:
• structuring and implementing like-kind exchanges, and planning for leaseholds;
• intercompany transfer pricing matters;
• complex estate planning; and
• formation and operation of nonprofit entities.

Corporate and Securities Practice Area

Our attorneys have the capacity to draft or assist with drafting private placement memoranda in connection with filing for registration or exemption from state and federal securities laws, as well as preparation for initial public offerings and securities-related compliance matters.
